Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Coastline Commerce Co. LLC, a California limited liability company (“Coastline,” “we,” “us” or “our”). They govern your use of Realstream, including the website at realstream.ai and the app at app.realstream.ai (together, the “Service”).

Please read them carefully. Section 12 limits our liability to you, and Section 11 explains that the Service is provided as is.

1. Accepting these Terms

You accept these Terms when you click to agree to them while creating your account, or when you use the Service. If you do not agree, do not use the Service.

The Service is for businesses. You must be at least 18 years old and use the Service for a business that sells through live auctions, not for personal or household purposes. If you accept these Terms for a company or other business, you confirm that you have authority to bind it, and “you” means that business.

2. The Service and the beta

Realstream helps live-auction sellers on Whatnot run their business. After you sign up and set up your business, you can connect your Whatnot seller account and use the AI assistant along with the packing, inventory, calendar and books views.

Realstream is in beta. Features may change, be added or be removed without notice, and some may not work as expected. We do not promise any level of availability, uptime or support response time, and there is no service level agreement. We may pause the Service for maintenance or updates, and we may limit or end the beta. If we end the Service, we will give you reasonable notice and a chance to export your data.

3. Your account

Give us accurate information when you sign up and keep it current. Keep access to your email and Google account secure, since they are how you sign in. You are responsible for everything that happens under your account, including what anyone you let use it does. Tell us right away at contact@realstream.ai if you think someone has used your account without permission.

4. Free trial and fees

During the beta, new accounts start with a 14-day free trial. We do not collect any payment during the trial. When your trial ends, you can book a call with us to choose a paid plan.

You will owe fees only under a plan you agree to in writing with us, such as an order form or a confirming email, which will state the price, billing period and any other terms of that plan. Those written terms will be part of this agreement. If you do not choose a plan when your trial ends, we may suspend your access, and Section 14 explains what happens to your data.

5. Connecting Whatnot

When you give us an access token for your Whatnot seller account, you authorize us to use it on your behalf to read your account information, products, orders, show results and financial transactions, and to request reports, so that we can provide the Service. You confirm that you are allowed to connect that account and that your use of the Service complies with Whatnot’s terms and policies.

You can disconnect a Whatnot account in the app at any time and revoke the token in Whatnot. Whatnot may change or limit access to its systems, which may affect what the Service can do, and we are not responsible for those changes.

Realstream is not affiliated with, endorsed by or sponsored by Whatnot. Whatnot is a trademark of its owner.

6. Your data

Your data belongs to you. “Your Data” means the information you or your Whatnot account bring into the Service, including your business details, orders, inventory, bookkeeping records, uploaded files and assistant conversations. We do not claim ownership of Your Data.

You give us permission to host, copy, process, transmit and display Your Data only as needed to provide, secure and support the Service for you and as described in our Privacy Policy. This includes sending the parts needed to answer a question to the AI model providers described there.

You are responsible for Your Data and for having the right to use it in the Service. That includes information about your buyers, and any notices or permissions the law requires you to have for it.

7. The AI assistant

The assistant’s answers are produced by AI models and can be wrong, incomplete or out of date, even when they sound confident. Check any number or recommendation before you rely on it, especially sales, costs, profit, bookkeeping and tax figures. The Service does not give accounting, tax, legal or financial advice, and it is not a substitute for a qualified professional.

When the assistant proposes a change to your records, the change is made only after you confirm it, and you are responsible for the changes you confirm. We may set limits on assistant use, such as a monthly allowance for some models.

8. Acceptable use

You agree not to:

• Use the Service to break any law or anyone else’s rights, or to break Whatnot’s terms or policies.
• Connect a Whatnot account or upload information you are not authorized to use.
• Upload malware, or try to get into accounts, data or systems you are not allowed to access.
• Disrupt the Service, put an unreasonable load on it, or get around its security or usage limits.
• Copy, scrape, reverse engineer or resell the Service, or use it to build a competing product.
• Share your account with people outside your business, or let anyone else do any of the above.

We may suspend access that we reasonably believe breaks these rules or puts the Service or other sellers at risk.

9. Our property and your feedback

Coastline owns the Service, including its software, design and the Realstream name and logo. While these Terms are in effect, we give you a limited, non-exclusive, non-transferable right to use the Service for your business. We keep all rights we do not expressly give you.

If you send us ideas or suggestions, we may use them to improve the Service without owing you anything. This does not give us any rights in Your Data.

10. Other services

The Service works with services run by other companies, such as Whatnot, Google sign-in and AI model providers. Their own terms govern your use of them. We are not responsible for those services or for what they do with information you choose to send them.

11. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Service will be uninterrupted, secure or error-free, that its results or the assistant’s answers will be accurate, or that Your Data will never be lost. Keep your own copies of records you need.

12. Limitation of liability

To the fullest extent the law allows, Coastline will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising out of or relating to these Terms or the Service, even if we were told they were possible.

Our total liability for all claims arising out of or relating to these Terms or the Service will not exceed the fees you paid us for the Service in the 12 months before the event that gave rise to the claim, or $100 if you paid no fees in that period.

These limits apply whatever the legal theory of the claim and even if a remedy fails of its essential purpose.

13. Indemnity

You will defend Coastline against any claim by a third party, including your buyers or Whatnot, that arises from Your Data, your use of the Service, or your breach of these Terms or the law, and you will pay any damages, costs and reasonable attorneys’ fees finally awarded or agreed in a settlement of that claim.

14. Ending these Terms

You can stop using the Service at any time. To close your account, email us at contact@realstream.ai.

We may suspend or close your account if you break these Terms, if your trial ends without a paid plan, if your use creates risk for the Service or others, or if we end the Service. Except where you have broken these Terms or the law requires otherwise, we will give you notice first.

When your account is closed, your right to use the Service ends. You can ask us to export Your Data within 30 days after your account is closed, and we will provide it in a standard format. After that, we delete Your Data as described in our Privacy Policy. Sections 6 and 9 through 17 continue to apply after these Terms end.

15. Governing law and disputes

California law governs these Terms, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms or the Service will be decided only in the state or federal courts located in Sacramento County, California, and you and we agree to the jurisdiction of those courts. Before filing a claim, please email us so we can try to resolve it informally.

16. Changes to these Terms

We may update these Terms as the Service changes. We will post the new version on this page and change the date at the top. For a material change, we will tell you by email or in the app at least 30 days before it takes effect, unless a change is required sooner by law. If you do not agree to a change, stop using the Service and close your account before it takes effect. If you keep using the Service after that, you accept the updated Terms.

17. General

• Entire agreement: these Terms, our Privacy Policy and any written plan you agree to are the whole agreement between you and us about the Service. If a written plan conflicts with these Terms, the plan controls.
• Assignment: you may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
• Severability: if any part of these Terms cannot be enforced, the rest stays in effect.
• No waiver: if we do not enforce a part of these Terms, we have not given up the right to enforce it later.
• Events outside our control: we are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers, internet failures or natural disasters.
• Notices: we will send notices to the email address on your account. Send notices to us at contact@realstream.ai or by mail to the address below.
